Service.
These terms govern your use of the OEAN.ai website, application and APIs. Enterprise customers operate under a separately signed Master Service Agreement that supersedes this document.
The agreement
By creating an account or accessing the service you agree to these terms on behalf of your organization. You represent that you are authorized to do so. If you do not agree, do not use the service.
The service
OEAN.ai provides a multi-tenant ERP platform with the modules described at oean.ai. We may change features in our discretion provided we do not materially reduce functionality you have already paid for.
Your account
You are responsible for credentials issued under your tenant, for activity that occurs under those credentials, and for ensuring your users comply with these terms.
Fees and renewal
Subscription fees are billed annually in advance, in USD unless otherwise agreed. Contracts auto-renew for successive one-year terms unless either party gives 30 days' written notice.
Customer data
You retain all rights to data you upload to the service. We process customer data only on your instructions, as set out in the Data Processing Addendum (/dpa).
Intellectual property
We retain all rights to the service, including the platform, documentation and trademarks. You may submit feedback; we may use it without restriction.
Warranty and SLA
We warrant that the service will materially conform to its documentation. Enterprise customers receive a 99.9% uptime SLA with service credits. Otherwise the service is provided "as is" to the maximum extent permitted by law.
Liability
Each party's aggregate liability is capped at the fees paid in the 12 months preceding the claim. Neither party is liable for indirect or consequential damages. Nothing limits liability that cannot be limited by law.
Termination
Either party may terminate for material breach uncured after 30 days' notice. On termination we provide a 30-day window to export your data, after which we delete it as set out in the DPA.
Governing law
These terms are governed by the laws of Singapore. Disputes are resolved exclusively by the Singapore International Arbitration Centre under its rules in effect at the time of filing.
